Cognizant Mini Tender Offer via Scottrade
Continuing discussion from another forum. So apparently
Scottrade transmits this third party offer to stockholders,
where neither Folio or Fidelity do.

What are the ethics of a broker choosing to forward
(Scottrade) or not forward (Fidelity/Folio)?

I had never heard of such a thing. Per Doug Gerlach,
Cognizant board recommending against.

Interested to hear if other brokerages have forwarded or not
AND whether there are other "mini" tenders" put there?

And, how is a stockholder to know the difference if it comes
from a broker?

My first reaction is to be dissatisfied w Scottrade on this
point. I solicit other views on the issues.
Scottrade passes these offers along to us from time to time. I have no
problem with this, in fact and glad that they are not "filtering" these out,
as it should be the stock holder who make the decision about the offer and
not the broker.

While it is obvious that the lawyers got their say in the communication from
Scottrade, the first time around, a quick call to their local office helped
provide a better explanation regarding the offer. They state very clearly
in the email that they are not recommending or endorsing the offer, and to
contact your local office (phone # included) for additional information.
