CA investment clubs and temporary SOS#s
Prior to recent changes in CA law, state-created pass-through entities (LLCs, LPs, LLPs, corporations, etc.) were required to register with the Secretary of State and received an SOS# which was included on their state tax filings. General partnerships (such as most investment clubs) were exempt from this requirement (in almost all cases) and did not have an SOS# assigned.

As of this year, the FTB has determined that all pass-through entities must now have and use an SOS# in addition to their federal EIN on their CA tax filings. General partnerships which did not have an SOS# were issued a temporary SOS# in December, 2021.

This change will be incorporated into the 2021 CA tax program when it is released by bivio.

Hi Ira,

This is very good timing! Our club just received a letter with an SOS#. In front of the number is the word "TEMP" (there's space in between).

Thank you for incorporating this change into the 2021 CA tax program.

On our return, should we enter the word "TEMP" in front of the number that the Franchise Tax Board gave us?

Thank you!

Janice

CA FTB has not released the final forms and instructions yet. Once they are released, the appropriate instructions will be included in the bivio tax program.

Our club never received the letter from FTB. We contacted FTB and they gave us a temp number. Is there a place in the club profile? Or do we need to wait for the tax forms to be available to enter this number.

There will be a place in the tax interview for the temporary SOS#. Note: that FTB reversed course and said that this is optional, not mandatory.

FTB is the Califorinia Franchise Tax Bureau - that's where you file CA income tax returns. You can learn about the status of the tax program here: https://www.bivio.com/bulletin/mail-thread?p=305421500003
